PsyData Labs L.L.C. Trademark and Branding License

This Trademark and Branding License ("Agreement") is a legal agreement between you ("Licensee") and PsyData Labs L.L.C. ("Licensor" or "PDL") regarding your use of PDL's trademarks, logos, service marks, trade names, and other branding elements (collectively, the "Marks").

1. Grant of License

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Marks solely for the purpose of promoting, displaying, or referencing PDL's products and services, in accordance with any branding guidelines provided by Licensor.

2. Quality Control

Licensee acknowledges that the quality of the goods and services offered in connection with the Marks is of the utmost importance. Licensee agrees to maintain a high standard of quality that is at least commensurate with the standard of quality maintained by Licensor. Licensor reserves the right to review and approve any materials bearing the Marks prior to their distribution.

3. Ownership of Marks

Licensee acknowledges that Licensor is the sole and exclusive owner of the Marks and all associated goodwill. Any goodwill arising from Licensee's use of the Marks shall inure solely to the benefit of Licensor. Licensee agrees not to challenge Licensor's ownership or the validity of the Marks.

4. Restrictions on Use

• Licensee shall not alter, modify, or change the Marks in any way.
• Licensee shall not use the Marks in any manner that is misleading, defamatory, or derogatory to Licensor or its products/services.
• Licensee shall not use the Marks in a way that suggests endorsement or sponsorship by Licensor without express written permission.
• Licensee shall not register or attempt to register any domain name, trademark, or trade name that is confusingly similar to the Marks.

5. Term and Termination

This Agreement is effective as of the date you first use the Marks and will continue until terminated. Licensor may terminate this Agreement and revoke the license granted herein at any time, with or without cause, upon written notice to Licensee. Upon termination, Licensee must immediately cease all use of the Marks and destroy any materials bearing the Marks.

6. Governing Law

This Agreement and any dispute arising out of or in connection with it shall be governed by, and construed in accordance with, the laws of the State of New York, without regard to its conflict of laws principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in New York, New York.

7. Miscellaneous

This Agreement constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior agreements. No modification of this Agreement shall be effective unless in writing and signed by both parties.
