Welcome to PsyData Labs L.L.C. ("PDL", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, platform, artificial intelligence services, application programming interfaces (APIs), and related software and services (collectively, the "Services"). By accessing or using the Services, you ("User", "you") agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

1. Acceptance and Modifications

By registering for, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. PDL reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Effective Date." Your continued use of the Services after any such updates constitutes your acceptance of the revised Terms.

2. AI Services and Output Disclaimers

The Services utilize advanced artificial intelligence ("AI"), machine learning, and predictive models. You acknowledge and agree to the following AI-specific constraints:

• Experimental Nature: The AI features are experimental and predictive. Outcomes are generated based on probabilities and historical data patterns.
• No Professional Advice: Outcomes, predictions, insights, or analyses generated by the Services do not constitute medical, psychological, psychiatric, legal, financial, or other professional advice.
• Accuracy and Hallucinations: AI systems may occasionally produce incorrect, inaccurate, or illogical outputs ("hallucinations"). You are solely responsible for independently verifying any output before relying on it for critical decision-making.
• Not a Diagnostic Tool: Our Services are not FDA-cleared and are strictly not intended for diagnosing, treating, or preventing any medical or mental health condition.

3. Data Classifications and Acceptable Use

PDL implements strict data governance protocols. Your use of the Services must strictly adhere to the following data type constraints:

• D-BEH (Behavioral Data): Pertains to observable user interactions and engagement patterns. You grant PDL a non-exclusive license to process D-BEH strictly to provide and improve the Services.
• D-PSY (Psychometric Data): Pertains to assessments, psychometric evaluations, and trait-based inputs. Such data is subject to heightened confidentiality and strict access controls. You must obtain informed consent from all data subjects before processing D-PSY via our Services.
• D-INF (Inferred Data): AI-generated derivations, predictions, and insights drawn from D-BEH and D-PSY. D-INF is proprietary to the generating party in accordance with your specific licensing tier, but is expressly excluded from guarantees of objective factual truth.

4. User Obligations and Restrictions

When using our Services, you agree not to:

• Process sensitive health information covered by HIPAA without executing a separate Business Associate Agreement (BAA) with PDL.
• Use the Services to infer protected characteristics (e.g., race, religion, sexual orientation) in violation of the NY Human Rights Law or any applicable anti-discrimination statutes.
• Reverse engineer, decompile, or attempt to extract the source code or model weights of PDL’s proprietary AI models.
• Use the Services for fully automated decision-making that produces legal or similarly significant effects on human subjects without adequate human oversight (as per the EU AI Act).

5. Intellectual Property

PDL retains all right, title, and interest (including all copyright, patent, trademark, and trade secret rights) in and to the Services, its underlying AI models, internal methodologies, and platform infrastructure. You retain all rights to the raw data you provide to the Services, subject to the licenses granted herein.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PDL, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR RELIANCE ON AI OUTPUTS.

IN NO EVENT SHALL PDL'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PDL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). THIS LIMITATION OF LIABILITY IS CONSPICUOUS, REASONABLE, AND ENFORCEABLE PURSUANT TO NEW YORK LAW.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. PDL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR DO WE GUARANTEE THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED OUTPUT.

8. Indemnification

You agree to defend, indemnify, and hold harmless PDL from and against any third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your unauthorized processing of D-BEH, D-PSY, or D-INF data, or your failure to secure necessary consents from data subjects.

9. Governing Law and Jurisdiction

These Terms, and any dispute arising out of or related to them, shall be governed by and construed in accordance with the internal laws of the State of New York, without regard to its conflict of law principles. Any legal suit, action, or proceeding shall be instituted exclusively in the federal or state courts located in New York County, New York, and you hereby consent to the personal jurisdiction of such courts.

10. Termination

PDL reserves the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, or creates undue legal or security risks to PDL.
