1. Preamble

This PDL Research License (the "License") establishes the terms under which PsyData Labs L.L.C. provides access to its proprietary datasets, models, and software (collectively, the "Materials"). This License is specifically tailored for non-commercial, academic, and research applications, prioritizing ethical data handling, privacy, and responsible Artificial Intelligence (AI) development.

2. Definitions

• "Behavioral Data (D-BEH)": Quantifiable data reflecting user actions, digital interactions, and behavioral patterns.
• "Psychological Signals (D-PSY)": Highly sensitive data containing explicit or implicit markers of psychological states, traits, vulnerabilities, or conditions.
• "Inferences (D-INF)": Derived conclusions, predictions, or categorizations resulting from the processing of D-BEH, D-PSY, or other supplementary data sources.
• "Non-Commercial Research": Use exclusively for academic research, education, or non-profit scientific inquiry, expressly excluding any intent of commercial advantage, product development, or monetary compensation.

3. Grant of License

Subject to strict compliance with the terms herein, PDL grants the Licensee a limited, worldwide, non-exclusive, non-transferable, non-sublicensable, and revocable license to access, reproduce, modify, and use the Materials solely for the purpose of Non-Commercial Research.

4. Strict Data Handling Protocols

The handling of PDL Materials requires exceptional care. The Licensee agrees to the following constraints:

• Prohibition on Re-identification: The Licensee shall not attempt to re-identify, deanonymize, or trace any D-BEH or D-PSY data back to individual data subjects under any circumstances.
• Data Minimization: The Licensee must limit the extraction, storage, and processing of D-BEH, D-PSY, and D-INF strictly to what is necessary for the approved research objectives.
• Security Standards: The Licensee must implement and maintain industry-standard physical, technical, and administrative safeguards to protect the Materials from unauthorized access, disclosure, or breach.

5. Artificial Intelligence and Machine Learning Constraints

To ensure the ethical application of AI, the Licensee shall adhere to the following restrictions when utilizing the Materials in computational models:

• No Commercial AI Training: The Materials shall not be used to train, fine-tune, or benchmark any AI models, algorithms, or systems intended for commercial deployment or monetization.
• Prohibition of Harmful Inferences: The Licensee shall not use the Materials to generate D-INF that facilitates unlawful profiling, discrimination, predatory targeting, or any action that inflicts psychological, financial, or physical harm.
• Diagnostic Restrictions: The Materials shall not be used to develop systems that provide automated clinical, medical, or psychological diagnoses without explicit, documented human-in-the-loop oversight and appropriate Institutional Review Board (IRB) or ethical committee approvals.

6. Publication and Attribution

The Licensee may publish the results of their Non-Commercial Research, provided that:

• Proper attribution is given to PsyData Labs L.L.C. as the source of the Materials.
• No raw, individual-level D-BEH, D-PSY, or D-INF data is published. Only highly aggregated, statistically anonymized results are permitted for public dissemination.

7. Term and Termination

This License is effective upon the Licensee's access to the Materials and shall remain in effect until terminated. PDL reserves the right to terminate this License immediately and without prior notice if the Licensee breaches any provision. Upon termination, the Licensee must immediately cease all use of the Materials, permanently delete all copies in their possession, and certify such destruction to PDL in writing.

8. Limitation of Liability and Disclaimer of Warranties

THE MATERIALS ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL PDL BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM, OUT OF, OR IN CONNECTION WITH THE MATERIALS OR THE USE THEREOF.

9. Governing Law and Jurisdiction

This License and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflict of law provisions. The parties irrevocably agree that the state and federal courts located in New York County, New York, shall have exclusive jurisdiction to settle any dispute or claim arising from this License.
