PDL Plugin License Agreement

This PDL Plugin License Agreement (the "Agreement") is a legal agreement between you (either an individual or an entity, hereinafter "Licensee") and PsyData Labs L.L.C. ("PDL") regarding the use of PDL's proprietary software plugins, APIs, and related documentation (collectively, the "Software").

1. Grant of License

Subject to the terms and conditions of this Agreement, PDL grants Licensee a limited, non-exclusive, non-transferable, and revocable license to install and use the Software solely for internal business purposes or as expressly permitted by PDL.

2. Data Privacy and Handling Constraints

Licensee acknowledges that the Software may process sensitive data. Licensee agrees to adhere to the strictest standards of data protection and complies with the following data handling constraints:

• Behavioral Data (D-BEH): Any telemetry, interaction logs, or behavioral data collected through the Software must be anonymized and encrypted in transit and at rest.
• Psychological Signals (D-PSY): Data reflecting emotional, cognitive, or psychological states must not be used for discriminatory profiling, employment decisions, or predatory marketing. Explicit, informed consent is required for the collection of D-PSY data.
• Inferences (D-INF): Inferences drawn from D-BEH or D-PSY data must remain transparent to the end-user and cannot be sold, rented, or transferred to third-party data brokers under any circumstances.

3. Artificial Intelligence Constraints

To the extent the Software integrates with or generates Artificial Intelligence (AI) models, Licensee agrees that:

• No D-PSY or D-INF data shall be used to train generalized foundation models without explicit written authorization from PDL.
• AI systems utilizing PDL Software must implement human-in-the-loop safeguards for any high-stakes psychological or behavioral assessments.
• Automated decision-making based on inferences generated by the Software that produces legal or similarly significant effects is strictly prohibited.

4. Restrictions on Use

Licensee shall not (and shall not allow any third party to):

• Decompile, reverse engineer, or disassemble the Software.
• Sublicense, lease, rent, or distribute the Software to any third party.
• Remove, alter, or obscure any proprietary notices within the Software.

5. Termination

This Agreement is effective until terminated. PDL may terminate this Agreement immediately if Licensee breaches any term of this Agreement. Upon termination, Licensee must cease all use of the Software and destroy all copies in their possession.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL PDL BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE.

7. Governing Law and Jurisdiction

This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the federal or state courts located in New York County, New York, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
