PDL Model License Agreement

1. Preamble

This PDL Model License Agreement (the "Agreement") is a legal agreement between you ("Licensee") and PsyData Labs L.L.C. ("PDL"). By downloading, accessing, copying, or using the Model and related materials, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, you may not use the Model.

2. Definitions

• "Model" means the machine learning models, artificial intelligence models, weights, parameters, software, and related documentation provided by PDL under this Agreement.
• "Derivative Works" means any modifications, fine-tuned versions, adaptations, or subsequent models derived from the Model.
• "Behavioral Data (D-BEH)" means data pertaining to the observable actions, interactions, or behaviors of an individual.
• "Psychological Signals (D-PSY)" means data or signals indicative of an individual's psychological, emotional, or cognitive state.
• "Inferences (D-INF)" means conclusions, categorizations, or predictions derived from D-BEH, D-PSY, or other inputs.

3. License Grant

Subject to your strict compliance with the terms and conditions of this Agreement, PDL grants you a non-exclusive, worldwide, non-transferable, non-sublicensable, revocable, royalty-free license to use, reproduce, modify, and create Derivative Works of the Model for research, commercial, and non-commercial purposes.

4. Use Restrictions and AI Constraints

You agree not to use the Model or any Derivative Works, or allow others to use the Model or Derivative Works, in any of the following ways or for the following purposes:

• Restriction on Clinical Diagnoses: You shall strictly not use the Model to generate unapproved clinical diagnoses, provide medical or psychiatric advice, or serve as a substitute for professional psychological, medical, or psychiatric evaluation and treatment.
• Human-in-the-Loop Requirement: Any application or deployment of the Model that results in decisions significantly affecting an individual's rights, well-being, employment, legal status, or access to essential services must involve meaningful human oversight and intervention (Human-in-the-Loop). The Model must not be used for fully automated high-stakes decision-making.
• Strict Data Handling (D-BEH, D-PSY, D-INF): You must handle Behavioral Data (D-BEH), Psychological Signals (D-PSY), and Inferences (D-INF) processed or generated by the Model with the highest standard of confidentiality and data security. You shall not use the Model to re-identify anonymized data, conduct malicious profiling, or extract D-PSY or D-INF for discriminatory, exploitative, or coercive purposes.
• Unlawful Use: You shall not use the Model to violate any applicable laws, regulations, or third-party rights, including privacy and data protection laws.

5. Distribution and Derivative Works

If you distribute, publish, or make available the Model or any Derivative Works thereof, you must:

• Include a copy of this Agreement with the distribution;
• Ensure that any third-party recipients or downstream users are bound by terms no less restrictive than those contained in this Agreement; and
• Provide clear attribution to PsyData Labs L.L.C. as the creator of the original Model.

6. Disclaimer of Warranty

THE MODEL IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. IN NO EVENT SHALL PDL BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, ARISING FROM, OUT OF OR IN CONNECTION WITH THE MODEL OR THE USE OR OTHER DEALINGS IN THE MODEL.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PDL OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE MODEL; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY CONCERNING THE MODEL; OR (C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT OR DATA.

8. Governing Law and Jurisdiction

This Agreement and any disputes arising out of or related to this Agreement or the Model shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, this Agreement shall be instituted exclusively in the federal or state courts located in the State of New York.
