This PDL Internal Use License ("License") governs the internal, non-commercial use of Software and Data ("Materials") provided by PsyData Labs L.L.C. ("PDL"). By accessing, using, or evaluating the Materials, you ("Licensee") agree to be bound by the terms and conditions of this License.

1. Grant of License

Subject to your compliance with this License, PDL grants Licensee a revocable, non-exclusive, non-transferable, non-sublicensable limited license to internally access, install, execute, and use the Materials strictly for internal evaluation, research, and non-commercial development purposes.

2. Data Handling Constraints

Licensee acknowledges that the Materials may contain or process highly sensitive data classifications. Licensee agrees to adhere to the following strict constraints regarding data handling:

• Behavioral Data (D-BEH): Any data derived from or relating to user behavior must be strictly anonymized, encrypted at rest and in transit, and securely stored. Unauthorized extraction, cross-referencing, or secondary use is strictly prohibited.
• Psychological Signals (D-PSY): Data representing, deriving, or capturing psychological traits, states, or signals must be handled with the highest degree of confidentiality. Such data may only be processed within approved, local, secure, and air-gapped environments or compliant encrypted enclaves.
• Inferences (D-INF): Any inferences, predictive models, or conclusions drawn from D-BEH or D-PSY data remain the exclusive intellectual property of PDL. These inferences must not be used to profile, target, or identify individuals outside of the explicitly permitted internal research scope.

3. Artificial Intelligence (AI) Restrictions

The Materials, including any underlying data, methodologies, or structural designs, may not be used, directly or indirectly, to train, fine-tune, validate, or prompt any Artificial Intelligence (AI), Machine Learning (ML) models, or Large Language Models (LLMs) without explicit, prior written consent from PDL. Furthermore, no output, generated data, or synthetic data created using the Materials may be used as training or evaluation data for any derivative AI systems.

4. Restrictions on Use

Except as expressly permitted by the limited grant herein, Licensee shall not:

• Modify, translate, reverse engineer, decompile, or disassemble the Materials.
• Distribute, sell, lease, rent, lend, or sublicense the Materials to any third party.
• Use the Materials for any commercial purpose, in any production environment, or for external benchmarking or competitive analysis.
• Remove, alter, or obscure any proprietary notices, copyright labels, or marks from the Materials.

5. Intellectual Property

PDL retains all right, title, and interest, including all intellectual property rights, in and to the Materials, including any modifications, enhancements, or derivatives thereof. This License does not grant Licensee any ownership rights, implied or explicit.

6. Term and Termination

This License is effective until terminated. PDL reserves the right to terminate this License immediately and without notice if Licensee breaches any term herein. Upon termination, Licensee must immediately cease all use of the Materials and permanently destroy all copies, installations, and data artifacts in Licensee's possession or control.

7. Disclaimer of Warranties and Limitation of Liability

THE MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PDL SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE MATERIALS.

8. Governing Law and Jurisdiction

This License and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the internal laws of the State of New York, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to this License shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York.
