This PDL Documentation License (the "License") is a legal agreement between you (either an individual or a single entity) and PsyData Labs L.L.C. ("PDL") regarding the use of PDL's documentation, whitepapers, specifications, and related written materials (collectively, the "Documentation").
1. Grant of License
Subject to the terms and conditions of this License, PDL grants you a worldwide, royalty-free, non-exclusive, non-sublicensable, and non-transferable license to view, download, and store the Documentation for your personal, internal, or informational purposes only.
2. Restrictions
This License incorporates restrictions analogous to the Creative Commons Attribution-NonCommercial-NoDerivatives 4.0 International (CC BY-NC-ND 4.0) license:
- Attribution: You must give appropriate credit to PsyData Labs L.L.C., provide a link to the original Documentation (where applicable), and indicate if any permitted changes were made. You may do so in any reasonable manner, but not in any way that suggests PDL endorses you or your use.
- NonCommercial: You may not use the Documentation for commercial purposes, including but not limited to selling, licensing, or using the materials to directly or indirectly generate revenue.
- NoDerivatives: If you remix, transform, or build upon the Documentation, you may not distribute the modified material. You are permitted to share the Documentation only in its original, unmodified form.
3. Ownership and Intellectual Property
PDL retains all right, title, and interest in and to the Documentation, including all copyrights, trademarks, trade secrets, and other intellectual property rights. This License does not grant you any rights to use PDL's trademarks, logos, or brand names without prior written consent.
4. Disclaimer of Warranties
THE DOCUMENTATION IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL PDL BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE DOCUMENTATION OR THE USE OR OTHER DEALINGS IN THE DOCUMENTATION.
5. Governing Law and Jurisdiction
This License and any disputes arising out of or related to it shall be governed by, construed, and enforced in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any legal action or proceeding relating to this License shall be brought exclusively in the state or federal courts located in the State of New York, and each party irrevocably consents to the jurisdiction and venue of such courts.
6. Termination
This License is effective until terminated. Your rights under this License will terminate automatically and immediately without notice from PDL if you fail to comply with any of its terms and conditions. Upon termination, you must cease all use of the Documentation and destroy all copies (physical and electronic) in your possession or control.
7. General Provisions
This License constitutes the entire agreement between you and PDL regarding the use of the Documentation and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. If any provision of this License is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
