PDL Community License Agreement

Version 1.0

This PDL Community License Agreement (the "Agreement") is a legal agreement between you (either an individual or a legal entity) and PsyData Labs L.L.C. ("PDL" or "Licensor") regarding the use of the software, datasets, models, or other materials accompanied by this Agreement (the "Work").

1. Definitions

• "Work" shall mean the software, datasets, models, source code, and related documentation distributed under this Agreement.
• "Derivative Work" shall mean any work based on, incorporating, or derived from the Work.
• "Behavioral Data (D-BEH)" shall mean any data capturing user interactions, actions, or behavioral patterns.
• "Psychological Signals (D-PSY)" shall mean derived metrics or indicators relating to cognitive, emotional, or psychological states.
• "Inferences (D-INF)" shall mean any conclusions, predictions, or classifications made about individuals based on D-BEH or D-PSY.

2. Grant of License

Subject to the terms and conditions of this Agreement, PDL hereby grants you a worldwide, royalty-free, non-exclusive, revocable license to:

• Use, reproduce, and distribute the Work.
• Prepare Derivative Works and reproduce and distribute such Derivative Works.

3. Strict Restrictions

The license granted in Section 2 is expressly made subject to the following restrictions:

• AI and Model Training: You may not use the Work, any Derivative Works, or any outputs generated by the Work to train, fine-tune, or benchmark any generalized artificial intelligence, machine learning, or large language models without express prior written consent from PDL.
• Data Handling (D-BEH, D-PSY, D-INF): Any processing, collection, or transmission of Behavioral Data (D-BEH), Psychological Signals (D-PSY), or Inferences (D-INF) utilizing the Work must strictly comply with the following:
  • Data must be irreversibly anonymized before long-term storage.
  • Data must not be used for discriminatory profiling, deceptive practices, or any purpose that causes psychological harm or manipulates individuals.
  • Users must be provided with clear, conspicuous notice and give explicit consent prior to the collection of D-PSY or D-INF.
• Non-Competition: The Work may not be used to develop a product or service that directly competes with the core commercial offerings of PsyData Labs L.L.C.

4. Notices and Attribution

You must include a copy of this Agreement and the following copyright notice in all copies or substantial portions of the Work or Derivative Works:

"Copyright © [Year] PsyData Labs L.L.C. All rights reserved. Licensed under the PDL Community License."

5. Disclaimer of Warranty

THE WORK IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE WORK OR THE USE OR OTHER DEALINGS IN THE WORK.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in New York, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
