API License Agreement

This API License Agreement ("Agreement") is a legal agreement between you ("Licensee") and PsyData Labs L.L.C. ("PDL", "we", "us", or "our"). By accessing or using the PDL API, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to your compliance with this Agreement, PDL grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the PDL API solely for the purpose of developing, testing, and supporting your applications.

2. Data Handling Constraints

You acknowledge that the PDL API provides access to highly sensitive data. You agree to strictly adhere to the following handling requirements:

• Behavioral Data (D-BEH): Must be encrypted at rest and in transit. Access must be logged and audited.
• Psychological Signals (D-PSY): May only be processed for the specific purposes authorized by the end-user. Any storage must be anonymized or pseudonymized where feasible.
• Inferences (D-INF): Inferences derived from PDL data must not be used to discriminate against individuals or for any automated decision-making that produces legal or similarly significant effects.

3. AI and Automation Constraints

To protect our infrastructure and data integrity, the following restrictions apply:

• No Scraping: You shall not use automated tools, bots, spiders, or scraping techniques to extract data from the PDL API outside of the intended programmatic interfaces.
• Rate Limits: You must strictly adhere to the rate limits communicated by PDL. Circumvention of rate limits is strictly prohibited.
• AI Training: You shall not use PDL API data to train, fine-tune, or otherwise improve any artificial intelligence or machine learning models without express written permission from PDL.

4. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in New York, New York, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

5. Termination

PDL reserves the right to suspend or terminate your access to the API at any time, with or without cause, and without notice. Upon termination, all licenses granted herein immediately expire, and you must securely delete all PDL data in your possession.

6. Changes to Agreement

We may modify this Agreement at any time. Continued use of the API constitutes acceptance of the modified terms.
