End User License Agreement

This End User License Agreement ("Agreement") is a legally binding contract between you ("Licensee", "End User", or "you") and PsyData Labs L.L.C., a New York limited liability company ("PDL", "we", "us", or "our"). By downloading, installing, accessing, or using any software, application programming interfaces (APIs), artificial intelligence (AI) models, dashboards, or associated documentation provided by PDL (collectively, the "Software"), you agree to be bound by the terms and conditions of this Agreement. If you do not agree to all terms herein, you must immediately cease all access to and use of the Software.

1. License Grant and Scope

Subject to your continuous compliance with this Agreement and timely payment of all applicable fees, PDL grants you a limited, non-exclusive, non-transferable, non-sublicensable, and fully revocable license to access and use the Software solely for your internal business operations or approved research purposes, as expressly defined in your active order form, master service agreement, or subscription plan.

2. Strict Usage Restrictions

The Software contains highly sensitive intellectual property and specialized behavioral algorithms. You explicitly agree that you shall not, and shall not permit or authorize any third party to:

• Reverse engineer, decompile, disassemble, or attempt to extract, derive, or discover any source code, algorithmic logic, AI model weights, neural network parameters, training datasets, or other proprietary property from the Software.
• Transfer, sell, rent, lease, syndicate, sub-license, distribute, or lend the Software or your access credentials to any unauthorized third party.
• Circumvent, bypass, or disable any access controls, rate limits, token restrictions, or security mechanisms designed to protect the Software and PDL's infrastructure.
• Scrape, datamine, or mechanically extract data from the Software except via expressly authorized and documented PDL APIs.
• Use the Software to develop a competing product, service, or foundation AI model.

3. Intellectual Property Ownership

The Software, including all iterative improvements, source code, AI models, model weights, algorithms, documentation, and underlying proprietary technologies, is the exclusive intellectual property of PsyData Labs L.L.C. and is protected by United States and international copyright, patent, trade secret, and other intellectual property laws. You acknowledge that you obtain no ownership rights whatsoever in the Software, AI models, or behavioral analytics methodologies. PDL retains all right, title, and interest not expressly granted to you herein. Any feedback, diagnostics, telemetry, or suggestions you provide to PDL may be incorporated into the Software by PDL without compensation, royalty, or ongoing obligation to you.

4. Behavioral Data and AI Constraints

Given the highly sensitive nature of psychological, behavioral, and biometric data, your use of the Software is subject to mandatory compliance with the following ethical and legal constraints:

• Tokenization and Anonymization: You shall not combine behavioral, psychological, or sentiment data generated by the Software with Personally Identifiable Information (PII) without applying PDL-approved tokenization, pseudonymization, or anonymization techniques.
• Prohibited Use Cases: You shall not use the Software, its outputs, or AI inferences for state or corporate surveillance, unlawful discrimination, malicious behavioral manipulation, or unlawful profiling.
• No Medical or Diagnostic Use: The Software is not a medical device. You shall not use the Software in clinical, therapeutic, or diagnostic contexts, nor use it to provide medical, psychiatric, legal, or financial advice, unless you have obtained an explicitly authorized, separate written addendum from PDL. All AI outputs are probabilistic and intended for informational purposes only.
• High-Impact Decisions: You shall not use Software outputs to automatically deny housing, credit, insurance, or employment. Any use of the Software in high-impact sectors must include a legally compliant, human-in-the-loop review process.
• Sensitive Data Handling: You are strictly prohibited from processing biometric data without establishing an explicit lawful basis, and you shall not process children's data without legally valid, verified parental consent in accordance with COPPA and applicable privacy laws.

5. Term and Termination

This Agreement remains in full force and effect until terminated by either party. Your rights under this Agreement will terminate automatically and immediately without notice from PDL if you breach any provision of this Agreement, including non-payment of fees or violation of usage restrictions. Upon termination, you must immediately cease all access to the Software, delete all local copies of PDL documentation or client libraries, and, upon request, provide written certification of such destruction.

6. Warranties and Disclaimers

THE SOFTWARE, AI MODELS, AND ALL ASSOCIATED OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. PDL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT. PDL DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUTS WILL BE COMPLETELY FACTUAL, ACCURATE, OR UNBIASED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NEW YORK AND FEDERAL LAW, IN NO EVENT SHALL PSYDATA LABS L.L.C., ITS MEMBERS, MANAGERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, DATA BREACHES, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE. IN NO EVENT SHALL PDL'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO PDL FOR THE SPECIFIC SOFTWARE ACCESS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

8. Governing Law, Venue, and General Provisions

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law principles. Any legal actions or disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York, and you hereby consent to the personal jurisdiction of such courts. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. This Agreement constitutes the entire understanding between you and PDL regarding the subject matter herein and supersedes all prior or contemporaneous oral or written agreements.
