Terms of Service for PsyData Labs L.L.C.
Effective Date: 2026-07-02 (July 2, 2026)
By accessing any services you agree to these Terms of Service (“Terms”) with PsyData Labs L.L.C. (“PsyData Labs”, “PsyData”, “PDL”, “we”, “us”, “our”), a New York Limited Liability Company. If you do not agree, do not use the services.
We provide software, APIs, and analytics relating to behavioral data and AI-assisted insights. Features may vary by plan and order form. We may modify features with notice when required.
You must provide accurate registration information and safeguard credentials. Prohibited conduct includes: unauthorized access, interference with services, reverse engineering except as law permits, uploading malware, violating thirdparty rights, using services for unlawful discrimination, or processing children’s data without authorization.
You retain ownership of data you submit. You grant PDL a limited license to host, process, and improve services per the Data Processing Agreement where applicable. Our Privacy Policy describes our collection of account and usage data.
Outputs may be probabilistic and are not medical, legal, or financial advice. You are responsible for human review before high-impact decisions. See product disclaimers at point of use.
Fees are per order form or checkout. Late payment may suspend access. Taxes are your responsibility unless stated.
Each party shall protect the other’s confidential information using reasonable care. Security commitments are described in the SLA ad security documentation for enterprise customers.
We retain all rights in services, models, and documentation. You receive a nonexclusive license during the term. Feedback may be used to improve services without royalty.
EXCEPT AS EXPRESSLY SET IN AN ORDER FORM, SERVICES ARE PROVIDED “AS IS”. PSYDATA LABS L.L.C. DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTEND PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY NEW YORK LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTIAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, DIRECT DAMAGES ARE CAPPED AT THE FEES PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM UNLESS LIABILITY CANNOT BE LIMITED FOR DEATH, PERSONAL INJURY, FRAUD, OR WILLFUL MISCONDUCT.
You shall defend PsyData Labs L.L.C. against third-party claims arising from your data, your violations of law, or your breach of these Terms. We shall defend you against claims that authorized use infringes third-party ID, subject to prompt notice and cooperation.
Either party may terminate for material breach not cured within 30 days. Upon termination, access ends and data export/deletion follows the DPA and Privacy Policy timelines.
These Terms are governed by the laws of the State of New York, excluding conflict rules. Exclusive venue lies in courts located in Madison County, New York, unless injunctive relief is sought elsewhere. Parties may elect binding arbitration by written agreement.
These Terms constitute the entire agreement regarding website / service terms. Severability applies. No wavier unless written. You may not assign without consent; We may assign to an affiliate or successor.
You represent you are not barred under US export or sanctions laws. You shall not use services in embargoed jurisdictions.
Beta features are provided as-is with additional logging; you agree to feedback license for improvement.
API use requires key, rate limits, and security obligations. Abuse may result in key revocation.
Availability commitments are in enterprise SLA documents; free tiers are besteffort.
Copyright complaints under 17 U.S.C. § 512 should be sent to our legal department (legal@psydata.org) with all required elements.
Neither party is liable for delays due to events beyond reasonable control, including outages and disasters.
Sanctions on IP, confidentiality, liability limits, indemnity, and governing law survive termination.
Executed order forms and DPAs control over these Terms for enterprise customers. Public website Terms control for self-serve accounts unless a signed agreement states otherwise.
Customer Data is data submitted by you.
Services means any PDL-hosted software or APIs.
Outputs means inferences generated from Customer Data subject to your configuration and law.
Parties agree to good-faith escalation before litigation. Prevailing party may recover fees only if required by statute.
Government and regulated industry customers may required additional security, data residency, and audit rights documented in order forms, SLAs, and DPAs. Those documents supplement but do not reduce baseline protections in these Terms unless expressly stated.
Prohibited use include: scraping except via authorized APIs; circumventing rate limits submitting unlawful content; using outputs to deny housing, credit, insurance, or employment without legally compliant review processes; reverse engineering models to extract training data; and processing biometric data without explicit lawful basis.
For business customers, we generally act as a processor of Customer Data under a DPA; for account, billing, and service-improvement data we may act as controller as described in the Privacy Policy. Role determination is documented per product and contract.
Support channels and hours are listed on our website. Scheduled maintenance may cause temporary unavailability; we provide notice when practicable. Emergency maintenance may occur without notice for security reasons.
Any claim from these Terms must be brought within one year after the cause of actions accrues unless a longer period is required by non-waivable law. Legal notices must be sent to our Legal Department (legal@psydata.org) and registered agent address on file with the New York Department of State; notices to you may be sent to account email.
If you purchased through a reseller, reseller terms may apply to billing; these Terms govern use of PsyData services unless a signed master agreement between us and your organization expressly supersedes them. Free trials and beta programs may include additional limitations posted at signup.
Any service credits are sole remedies for SLA breaches where expressly stated in a SLA; credits do not apply to free tiers or causes outside our control including customer misconfiguration or third-party outages.
