Definitions

"PDL Marks" means the name PsyData Labs L.L.C., the abbreviation PDL, all product names, trademarks, service marks, logos, icons, slogans, trade dress, and brand assets owned by PsyData Labs L.L.C.
"Factual Reference" means accurate, non-misleading, non-promotional reference to PDL Marks for purposes of identifying compatibility, attribution, or factual description (e.g., "compatible with PDL technology").
"Impersonation" means representing oneself or one's product as PsyData Labs L.L.C., PDL, or an official PDL product or service without authorization.
"Confusingly Similar Mark" means any name, mark, logo, or brand element that is likely to be confused with PDL Marks by a reasonable consumer.
"Trade Dress" means the visual appearance, design, and packaging elements associated with PDL products and services.

License Grant

PsyData Labs L.L.C. grants a limited, non-exclusive, revocable permission to use PDL Marks solely for Factual Reference purposes as defined herein. No trademark license broader than Factual Reference is granted without a separate executed written trademark license agreement. No logo license of any kind is granted under this document unless separately authorized in writing.

Restrictions

The following uses of PDL Marks are strictly PROHIBITED:

Impersonation of PsyData Labs L.L.C. or its officers, employees, or authorized representatives;
False endorsement or suggesting official PDL affiliation without authorization;
Creation of confusingly similar marks, names, logos, or domain names;
Unauthorized modification of PDL brand assets;
Use of PDL Marks in offensive, misleading, or disparaging contexts;
Use implying official affiliation, sponsorship, or endorsement without written authorization;
Registration of domain names, social media handles, or app store listings incorporating PDL Marks without written authorization;
Use of PDL Marks in metatags, hidden text, or keyword advertising in ways that create a false impression of affiliation. 13. Attribution Requirements
Factual Reference use must accurately represent PDL's role (e.g., "built using PDL technology" is permissible; "official PDL product" without authorization is not). Trademark notices (™ or ® as applicable) must be applied per PDL's brand guidance.

Ownership & Intellectual Property

All PDL Marks are and shall remain the exclusive property of PsyData Labs L.L.C. This Agreement does not transfer any trademark, trade dress, or brand ownership to any party. Unauthorized use of PDL Marks constitutes trademark infringement and may result in legal action including injunctive relief and monetary damages.

Confidentiality

Brand guidelines and unpublished brand assets shared under this Agreement are Confidential Information and must not be disclosed to third parties.

Data Protection

N/A to Trademark License. Standard data handling obligations apply.

AI-Specific Terms

AI-generated content purporting to represent PDL, PDL Marks, or PDL products without authorization is PROHIBITED. Licensees must not use AI systems to generate content that impersonates or creates false endorsements involving PDL Marks.

Commercial Terms

Factual Reference use is permitted without fee. Commercial use of PDL Marks beyond Factual Reference, including promotional use, co-branding, or endorsement, requires a separately executed trademark license agreement and may be subject to fee terms.

Redistribution Terms

N/A to Trademark License in the traditional sense. PDL brand assets may not be redistributed, sublicensed, or transferred to third parties.

Modification Terms

PDL brand assets may not be modified, adapted, distorted, or altered in any way. Use of modified PDL Marks is PROHIBITED.

Termination

PDL may revoke trademark permission immediately upon any Prohibited Use, infringement, or misrepresentation. Licensee must immediately cease all use of PDL Marks upon revocation or termination.

Warranty Disclaimer

PDL MAKES NO WARRANTY THAT FACTUAL REFERENCE USE OF PDL MARKS WILL NOT GIVE RISE TO CLAIMS BY THIRD PARTIES, AND LICENSEE ASSUMES ALL RISKS ASSOCIATED WITH ITS USE OF PDL MARKS.

Limitation of Liability

PDL IS NOT LIABLE FOR ANY COMMERCIAL LOSS, REPUTATION DAMAGE, OR THIRD-PARTY CLAIM ARISING FROM LICENSEE'S USE OR MISUSE OF PDL MARKS.

Indemnification

Licensee shall indemnify PDL from all claims, damages, and legal fees arising from Licensee's unauthorized, infringing, or misleading use of PDL Marks.

Governing Law

This Agreement shall be governed by the laws of Madison County, New York State, United States.
