Definitions
"PDL" means PsyData Labs L.L.C.
"Plugin" means any extension, marketplace plugin, integration, module, adapter, or third-party add-on developed by Licensee for use on or with PDL platforms.
"PDL Platform" means the PDL software platform, service, or ecosystem on which the Plugin operates as specified in Schedule A.
"Security Review" means PDL's process of evaluating Plugins for security vulnerabilities, policy compliance, and platform compatibility prior to marketplace listing or distribution.
"Marketplace" means any PDL-operated or PDL-authorized distribution channel for Plugins.
"Revenue Sharing" means the allocation of Marketplace revenue between PDL and the Plugin developer as defined in Schedule A.
License Grant
Subject to prior written approval from PDL, successful completion of Security Review, and compliance with this Agreement, PsyData Labs L.L.C. grants Licensee a limited, non-exclusive, non-transferable license to develop, distribute, and operate the Plugin in connection with PDL Platform(s) as specified in Schedule A.
Restrictions
Plugin development for PDL Platforms requires prior written approval from PsyData Labs L.L.C.;
Plugins must not impersonate PsyData Labs L.L.C., PDL, or any PDL product or service;
Plugins may not rebrand or white-label PDL technology without separate written authorization;
Plugins must not circumvent PDL security controls, rate limits, or access controls;
Distribution of Plugins through non-authorized channels without PDL consent is PROHIBITED;
PDL reserves the right to remove Plugins from the Marketplace for policy violations, security issues, or user complaints without prior notice.
Attribution Requirements
All Plugins must clearly display attribution to PsyData Labs L.L.C. where the Plugin interfaces with, extends, or is built upon PDL technology. Marketplace listings must accurately represent the Plugin's relationship to PDL platforms and must not overstate official PDL endorsement absent separate authorization.
Ownership & Intellectual Property
Licensee retains ownership of independently developed Plugin code that does not incorporate PDL Proprietary Components. Any Plugin elements that incorporate PDL APIs, SDKs, or libraries are subject to the terms of applicable PDL licenses. PDL retains all Intellectual Property Rights in the PDL Platform and all components thereof.
Confidentiality
Licensee must maintain confidentiality of any proprietary PDL technical information disclosed during developer onboarding, Security Review, or API integration processes.
Data Protection
Plugins that access or process user data must comply with applicable data protection law. Plugins must not collect user data beyond what is necessary for the authorized Plugin function. Data handling practices must be disclosed in Plugin documentation.
AI-Specific Terms
Plugins incorporating AI features must comply with PDL AI Usage Policy (PDL-AIP-001) and must not circumvent AI safety or output verification controls implemented in the PDL Platform.
Commercial Terms
Marketplace Revenue Sharing terms are defined in Schedule A. Revenue sharing obligations, if applicable, are payable per the schedule defined therein. Licensee must maintain accurate revenue records and provide quarterly reports to PDL where revenue sharing is applicable.
Redistribution Terms
Plugin redistribution outside authorized Marketplace channels requires written authorization. Plugins must not bundle unauthorized PDL content or redistribute PDL proprietary materials.
Modification Terms
Licensee may update and modify the Plugin subject to PDL's re-review requirements for material changes. Major updates that significantly change Plugin functionality or data access scope require PDL approval before publication.
Termination
PDL may terminate Plugin Marketplace authorization for policy violations, security vulnerabilities, impersonation, or non-compliance with compatibility requirements. Licensee may terminate by removing the Plugin from the Marketplace with written notice to PDL.
Warranty Disclaimer
PDL MAKES NO WARRANTY REGARDING THE COMMERCIAL SUCCESS, STABILITY, OR CONTINUED SUPPORT OF THE PDL PLATFORM ON WHICH PLUGINS OPERATE. PDL MAY DEPRECATE PLATFORM FEATURES OR APIs THAT PLUGINS RELY UPON. PLUGIN LICENSEES ASSUME ALL RISKS OF DEVELOPMENT AND DEPLOYMENT.
Limitation of Liability
PDL IS NOT LIABLE FOR LOST REVENUE, MARKETPLACE REMOVAL, OR PLATFORM CHANGES AFFECTING PLUGIN FUNCTIONALITY. AGGREGATE LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING TWELVE MONTHS OR $100.00 USD.
Indemnification
Licensee shall indemnify PDL from claims arising from Plugin defects, security vulnerabilities, data protection violations, intellectual property infringement in Plugin code, or impersonation of PDL.
Governing Law
This Agreement shall be governed by the laws of Madison County, New York State, United States.
