Document 2 — PDL Community License
Definitions
"PDL" means PsyData Labs L.L.C., including its officers, employees, and authorized representatives.
"Licensee" means any individual, organization, or entity accessing, viewing, forking, or using the Software under this Community License.
"Software" means the specific PDL project or repository made available under this Community License, as identified in Schedule A.
"Source-Available" means that source code is made readable on a project-by-project basis subject to the terms herein, but does not constitute an "open-source" license within the meaning of the Open Source Initiative definition.
"Private Fork" means a copy of the repository maintained in a non-public, access-restricted environment.
"Contribution" means any code, documentation, data, or other material submitted to a PDL project by Licensee.
"Competing Product" means any software, service, or product that substantially replicates, duplicates, clones, or constitutes only minor modifications of the Software for the purpose of competing with PDL or offering a substantially similar product or service to the market.
"Commercial Use" means use of the Software for revenue-generating purposes, customer-facing deployment, or for-profit activities.
"Attribution Block" means the Standard PDL Attribution Block as set forth in this Documentation Suite.
License Grant
Subject to the terms herein and the project-specific conditions set forth in Schedule A, PsyData Labs L.L.C. grants Licensee a limited, non-exclusive, non-transferable, revocable license to:
Read, view, and study the source code of the designated Software project;
Create Private Forks, solely if and to the extent expressly permitted in Schedule A;
Modify the Software, solely if and to the extent expressly permitted in Schedule A;
Submit Contributions to the designated PDL project repository subject to the PDL Contributor License Agreement (PDL-CLA-001).
All rights not expressly granted are reserved exclusively by PsyData Labs L.L.C.
Restrictions
Redistribution of the Software, in whole or in part, is PROHIBITED without explicit written consent from PsyData Labs L.L.C. Office of the Executives and/or the Chief Executive Officer;
Commercial use of the Software requires a separate executed Commercial License (PDL-CML-001);
Anti-Clone Provision: Derivative products, forks, or adaptations of the Software may NOT substantially resemble, duplicate, clone, or constitute only minor modifications of the original Software to create a Competing Product or service. This prohibition applies regardless of whether the resulting work is marketed, published, or distributed commercially or non-commercially;
Sublicensing of any rights under this Agreement is PROHIBITED;
Reverse engineering for competitive intelligence or commercial advantage is PROHIBITED;
Use of the Software's codebase, architecture, or design as the basis for a substantially similar competing platform is PROHIBITED.
Attribution Requirements
Attribution is MANDATORY in all cases under this Community License. The Standard PDL Attribution Block must be included in all copies, forks, derivative works, publications, and submissions referencing or incorporating the Software. The mandatory attribution must include all of the following:

Ownership & Intellectual Property
PsyData Labs L.L.C. retains full and exclusive ownership of all Intellectual Property Rights in the Software. Source availability under this Community License does not transfer, assign, or otherwise convey any ownership interest. Any Contributions submitted by Licensee to PDL projects are governed by the PDL Contributor License Agreement and shall become the property of PsyData Labs L.L.C. as specified therein.
Confidentiality
Notwithstanding source availability, Licensee acknowledges that the Software may contain or reference proprietary algorithms, trade secrets, and confidential business logic. Licensee shall not disclose, publish, or reproduce any elements of the Software that PDL has marked or otherwise designated as confidential.
Data Protection
Licensee shall comply with all applicable data protection laws. Any processing of personal data in connection with use of the Software must comply with GDPR, HIPAA, CCPA, and applicable law. Licensee shall not use the Software to process PHI unless a Business Associate Agreement has been executed with PsyData Labs L.L.C.
AI-Specific Terms
Where the Software incorporates AI model components, Licensee shall not use source availability under this Community License to extract, reproduce, or train competing models using PDL model architectures, weights, or outputs. Community collaboration on AI components is subject to supplemental project-specific AI governance terms as specified in Schedule A.
Commercial Terms
Commercial use of the Software is PROHIBITED under this Community License. Any commercial deployment, integration, or use requires execution of a separate PDL Commercial License (PDL-CML-001). Community collaboration contributions do not entitle Licensee to any commercial rights or revenue participation unless separately agreed in writing by an authorized officer of PsyData Labs L.L.C.
Redistribution Terms
Redistribution is PROHIBITED without explicit prior written consent from PsyData Labs L.L.C. Office of the Executives and/or the Chief Executive Officer. Any authorized redistribution must comply with the Attribution Requirements in Section 13 and must be subject to the same or more restrictive terms as this Community License. Public release of modifications, if authorized in Schedule A, must include the full Attribution Block and comply with any additional project-specific terms.
Modification Terms
Modification is permitted only to the extent expressly authorized in Schedule A. Where authorized:
Modifications remain subject to all restrictions in this Agreement;
Contributions back to the original project may be required per Schedule A;
Public publication of modifications may be required per Schedule A;
The Anti-Clone Provision applies to all modifications regardless of authorization status;
All modifications are made available to PDL under the PDL Contributor License Agreement terms. 21. Termination
PDL may terminate this Community License immediately upon: (a) any violation of the Anti-Clone Provision; (b) unauthorized redistribution; (c) unauthorized commercial use; (d) violation of Attribution Requirements; or (e) any other material breach. Licensee shall immediately cease all use and destroy or return all copies of the Software upon termination.
Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. PSYDATA LABS L.L.C. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. COMMUNITY ACCESS IS PROVIDED FOR COLLABORATIVE PURPOSES AND DOES NOT IMPLY ANY GUARANTEE OF SOFTWARE QUALITY, SUITABILITY, OR FITNESS FOR LICENSEE'S INTENDED USE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PSYDATA LABS L.L.C. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM LICENSEE'S USE OF OR PARTICIPATION IN THE COMMUNITY LICENSE PROGRAM. PDL'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00 USD) REGARDLESS OF THE FORM OF ACTION.
Indemnification
Licensee agrees to indemnify and hold harmless PsyData Labs L.L.C. from any claims arising from Licensee's use of the Software under this Community License, breach of this Agreement, violation of third-party intellectual property rights in Contributions, or unauthorized redistribution, modification, or commercial exploitation of the Software.
Governing Law
This Agreement shall be governed by the laws of Madison County, New York State, United States.
