Definitions
"PDL" means PsyData Labs L.L.C.
"API" means the Application Programming Interface(s) provided by PsyData Labs L.L.C. for authorized programmatic access to PDL systems, services, or data.
"API Key" means the unique credential issued by PDL to Licensee for authenticated API access.
"Rate Limit" means the maximum number of API requests permitted within a defined time period as specified in Schedule A.
"Automated Scraping" means systematic automated extraction of data from API responses for purposes beyond the authorized use, including dataset creation, model training, or competitive intelligence.
"Abuse" means any use of the API that exceeds Rate Limits, circumvents security controls, degrades service availability, or violates this Agreement.
"Free Tier" means the API access tier provided at no charge subject to usage limits defined in Schedule A.
"Commercial API License" means the separately required commercial authorization for API use above Free Tier thresholds.
License Grant
Subject to issuance of a valid API Key by PDL and compliance with this Agreement, PsyData Labs L.L.C. grants Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the API solely for the Authorized Use defined in Schedule A and within the Rate Limits specified therein.
Restrictions
API access is conditioned on the continued validity of a PDL-issued API Key;
API Keys are confidential credentials: Licensee must not share, expose, publish, embed in publicly accessible code, or otherwise disclose API Keys to unauthorized parties;
Automated Scraping of API responses for dataset creation, model training, or competitive intelligence is PROHIBITED;
Circumventing Rate Limits through multiple keys, distributed requests, or other technical means is PROHIBITED;
Using the API to access data beyond the authorized scope is PROHIBITED;
Commercial API use above Free Tier thresholds without a Commercial API License is PROHIBITED.
Attribution Requirements
Applications built using PDL APIs must acknowledge PDL as the API provider. Public-facing applications and developer documentation must include appropriate PDL attribution. Attribution requirements for specific API products may be further defined in Schedule A.
Ownership & Intellectual Property
PDL retains all Intellectual Property Rights in the API, including its design, protocols, endpoints, response schemas, and documentation. Data returned via API remains subject to PDL Data License (PDL-DAT-001) restrictions. Developer applications built on PDL APIs are owned by Licensee but may not incorporate PDL Proprietary Components beyond authorized API access.
Confidentiality
API Key credentials are Confidential Information. API response data that is designated confidential must be handled according to applicable data classification standards.
Data Protection
Data returned through API access is subject to applicable data protection law. Licensee must implement appropriate security controls for API Key management and for any personal data received through the API. Breach notification requirements apply as set forth in PDL-DAT-001.
AI-Specific Terms
API access to AI-powered endpoints is subject to PDL AI Usage Policy (PDL-AIP-001). AI endpoint responses must not be used for: model training without authorization; automated scraping; competitive benchmark publication without PDL consent; or any Prohibited Use as defined in PDL-MDL-001.
Commercial Terms
Free Tier API access is subject to Rate Limits and use restrictions defined in Schedule A. Commercial API use above Free Tier thresholds requires a separate executed Commercial API License and payment of applicable fees per Schedule A. Rate limit exceedance may trigger automatic suspension pending licensing resolution.
Redistribution Terms
API Keys must not be redistributed, sublicensed, or shared. Data retrieved through the API may not be redistributed without separate written authorization from PDL and compliance with PDL-DAT-001.
Modification Terms
Licensee may build applications and integrations on top of the API. PDL reserves the right to modify, deprecate, or version API endpoints with notice to Licensee. PDL is not obligated to maintain backward compatibility beyond what is committed to in separate SLA arrangements.
Termination
PDL reserves the right to suspend or terminate API access without prior notice for: Abuse, policy violations, security threats, unauthorized commercial use, or non-payment. Licensee-requested termination requires written notice and return or deletion of all API-retrieved data.
Warranty Disclaimer
API ACCESS IS PROVIDED "AS IS." PDL MAKES NO WARRANTY REGARDING API AVAILABILITY, UPTIME, RESPONSE ACCURACY, OR CONTINUITY OF SERVICE. PDL MAY MODIFY, DEPRECATE, OR DISCONTINUE API ENDPOINTS AT ANY TIME.
Limitation of Liability
PDL IS NOT LIABLE FOR DAMAGES ARISING FROM API OUTAGES, RATE LIMITING, DATA INACCURACIES, OR API DEPRECATION. AGGREGATE LIABILITY SHALL NOT EXCEED FEES PAID IN THE PRECEDING TWELVE MONTHS OR $100.00 USD.
Indemnification
Licensee shall indemnify PDL from claims arising from Licensee's API application, unauthorized data use, API Key exposure, Abuse, or breach of this Agreement.
Governing Law
This Agreement shall be governed by the laws of Madison County, New York State, United States.
