Definitions

"PDL" means PsyData Labs L.L.C.
"Software" means the specific PDL software product, application, or platform to which this EULA applies as identified in Schedule A.
"End User" means the individual who installs, accesses, or uses the Software subject to this EULA.
"Account" means the End User's registered account, where required for Software access.
"Acceptable Use Policy" means the PDL Acceptable Use Policy (PDL-AUP-001), incorporated herein by reference.
"Technical Protection Measures" means digital rights management, encryption, access controls, and anti-circumvention mechanisms embedded in the Software.
"Update" means patches, new versions, bug fixes, and feature additions provided by PDL at its discretion.

License Grant

Subject to compliance with this EULA, PsyData Labs L.L.C. grants End User a limited, personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on authorized devices solely for End User's personal or internal business use in accordance with the Acceptable Use Policy. This EULA does not constitute a sale of the Software.

Restrictions

License is personal and non-transferable: End User may not transfer, assign, or sublicense this license;
Reverse engineering, decompiling, disassembling, or attempting to derive source code is PROHIBITED;
Circumventing Technical Protection Measures is PROHIBITED;
End User must comply with the Acceptable Use Policy (PDL-AUP-001) at all times;
End User may not use the Software to develop competing products or services.

Attribution Requirements

End Users must not remove PDL copyright notices from the Software interface or documentation.

Ownership & Intellectual Property

PDL retains all Intellectual Property Rights in the Software. Installation and use do not convey ownership. All goodwill arising from End User's use of the Software inures to PDL.

Confidentiality

N/A to standard End User context. Where the Software provides access to confidential PDL content, applicable confidentiality terms apply.

Data Protection

End User's personal data is governed by the PDL Privacy Policy (PDL-PRV-001), incorporated herein by reference. End User consents to data processing as described in the Privacy Policy.

AI-Specific Terms

Where Software incorporates AI features, End User must comply with PDL AI Usage Policy (PDL-AIP-001). AI outputs do not constitute professional clinical, legal, or financial advice without human professional review.

Commercial Terms

Free tier and paid tier terms are defined in Schedule A. Paid tier access requires payment of applicable subscription fees. Failure to pay may result in suspension of access.

Redistribution Terms

Redistribution of the Software is PROHIBITED. End Users may not share, resell, or redistribute their license or account access.

Modification Terms

End Users may not modify the Software. PDL may provide Updates at its discretion; Updates may be required for continued access and are governed by this EULA.

Termination

PDL may terminate this EULA for material breach with thirty (30) days written notice and an opportunity to cure for non-material breaches. For material IP violations, Prohibited Use, or AUP violations, termination is immediate without cure period. Sections 14, 22, 23, 24, and 25 survive termination.

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS." PDL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PDL DOES NOT WARRANT THAT THE SOFTWARE WILL MEET END USER'S REQUIREMENTS OR OPERATE WITHOUT ERROR.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PDL SHALL NOT BE LIABLE TO END USER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. PDL'S AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY END USER IN THE PRECEDING TWELVE MONTHS OR $100.00 USD, WHICHEVER IS GREATER.

Indemnification

End User shall indemnify PDL from claims arising from End User's breach of this EULA, AUP violations, or unauthorized commercial use of the Software.

Governing Law

This Agreement shall be governed by the laws of Madison County, New York State, United States. Dispute resolution mechanism: Litigation in Madison County, New York State, United States. Class action waiver: [CLASS ACTION WAIVER LANGUAGE — TO BE DETERMINED BY LEGAL COUNSEL].
