Definitions
"Contributor" means any individual or legal entity submitting a Contribution to a PDL project.
"Contribution" means any code, documentation, data, model, design, or other original work of authorship submitted to PsyData Labs L.L.C. for inclusion in a PDL project.
"Submit" means any communication or delivery to PDL or a PDL project repository, including pull requests, email submissions, issue reports with patches, or API-based submissions.
"Patent Claims" means patent claims licensable by the Contributor that would be necessarily infringed by the Contribution alone or in combination with PDL technology.
"Corporate Contributor" means an organization submitting Contributions through employees or agents on its behalf.
"Moral Rights" means rights of attribution, integrity, and disclosure recognized under applicable law in some jurisdictions.
License Grant — Copyright
Contributor hereby grants PsyData Labs L.L.C. a perpetual, worldwide, non-exclusive, royalty-free, irrevocable copyright license to use, reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute the Contribution and such derivative works in any form and under any license, including commercial licenses. PDL may relicense Contributions under any license at its sole discretion.
License Grant — Patent
Contributor grants PsyData Labs L.L.C. a perpetual, worldwide, non-exclusive, royalty-free, irrevocable patent license to make, have made, use, offer for sale, sell, import, and otherwise transfer the Contribution and works incorporating the Contribution, to the extent such license is necessary to practice the Patent Claims necessarily infringed by the Contribution.
Representations and Warranties
Contributor represents and warrants that:
The Contribution is an original work of Contributor's authorship;
The Contribution does not infringe any third-party intellectual property rights;
Contributor has the legal authority to grant this license;
If Contributor is an employee, Contributor has obtained employer authorization to submit the Contribution (see Employer Authorization below);
The Contribution does not include malicious code, unauthorized third-party libraries, or content subject to export control without appropriate authorization. 14. Contributor Retains Copyright
Contributor retains copyright ownership in Contributions. This CLA grants PDL a broad license but does not transfer copyright to PDL unless separately agreed in writing.
No Implied Rights to Contributor
This CLA does not grant Contributor any right to use PDL technology, platforms, or intellectual property beyond what is expressly licensed to Contributor under applicable PDL license agreements. Submission of a Contribution does not create any employment, partnership, or joint venture relationship.
Moral Rights
To the fullest extent permitted by applicable law, Contributor waives and agrees not to assert any Moral Rights in Contributions to PDL projects, including rights of attribution with respect to modifications of the Contribution made by PDL. Where waiver is not permitted by law, Contributor grants PDL a license to exercise Moral Rights on Contributor's behalf.
Employer Authorization
If Contributor submits a Contribution in the course of employment and the Contribution is within the scope of employment, Contributor represents that they have obtained all necessary employer authorizations to grant the licenses herein. Corporate Contributors must execute the Corporate CLA variant and designate authorized submitters.
